- You have read, understood, and agree to be bound by these Terms

- You comply with all applicable laws and regulations in your jurisdiction
3. Services Overview
3.1 Service Scope
Designa Graphics provides professional graphic design services including, but not limited to:
- Brand identity design and development
- Visual communication and messaging
- Digital design for websites, apps, and online platforms
- Print design for marketing materials and publications
- Marketing materials and campaign design
- Creative consulting and strategy services
3.2 Service Customization
All services are customized based on client requirements. Specific deliverables, timelines, and costs will be outlined in individual proposals or agreements.
3.3 Service Availability
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We are not liable for any modification, suspension, or discontinuation of services.
4. Client Obligations
4.1 Information Provision
Clients agree to:
- Provide accurate, complete, and timely information required for project completion
- Supply necessary materials, content, and assets as specified
- Respond to requests for feedback and approvals within agreed timelines
- Designate authorized representatives for project communications
- Ensure all provided content does not violate third-party rights
4.2 Client Responsibilities
Clients are responsible for:
- Accuracy of all information and materials provided
- Obtaining necessary permissions for any third-party content
- Compliance with applicable laws regarding use of deliverables
- Timely payment according to agreed terms
- Providing constructive and timely feedback
5. Project Process
5.1 Project Initiation
Projects begin upon:
- Mutual agreement on project scope, deliverables, and timeline
- Execution of a formal agreement or acceptance of proposal
- Receipt of initial payment or deposit as specified
5.2 Design Process
Our standard design process includes:
- Discovery: Understanding project requirements, goals, and target audience
- Research: Market analysis and competitive research
- Concept Development: Creating initial design concepts
- Client Review: Presenting concepts for client feedback
- Refinement: Incorporating feedback and making revisions
- Finalization: Preparing final deliverables
- Delivery: Providing all final files and documentation
5.3 Revisions
Each project includes a specified number of revision rounds as outlined in the agreement. Additional revisions beyond the agreed scope may incur additional fees. Revisions must be requested within the designated review period.
5.4 Timeline
Project timelines are estimates based on timely client feedback and information provision. Delays caused by client inaction, late feedback, or scope changes may result in timeline adjustments.
6. Payment Terms
6.1 Pricing
All prices are quoted in UAE Dirhams (AED) unless otherwise specified. Prices are subject to change, but quoted prices remain valid for the period specified in the proposal.
6.2 Payment Schedule
Unless otherwise agreed:
- A deposit of 50% is required to initiate projects
- The remaining 50% is due upon project completion and before final file delivery
- For ongoing or retainer services, payment terms will be specified in the agreement
6.3 Payment Methods
We accept payment via:
- Bank transfer
- Credit/debit cards
- Other methods as mutually agreed
6.4 Late Payment
Late payments may result in:
- Suspension of work until payment is received
- Late fees of 2% per month on outstanding balances
- Withholding of final deliverables
- Termination of the agreement
6.5 Additional Costs
The following may incur additional charges:
- Revisions beyond the agreed scope
- Rush fees for expedited timelines
- Third-party expenses (stock photos, fonts, printing, etc.)
- Significant scope changes after project initiation
7. Intellectual Property Rights
7.1 Ownership of Final Deliverables
Upon full payment, the Client receives ownership rights to the final approved deliverables for the specific use outlined in the agreement. This includes the right to use, reproduce, and modify the work for the agreed purposes.
7.2 Ownership of Preliminary Work
All preliminary designs, concepts, sketches, and work-in-progress materials remain the property of Designa Graphics unless specifically included in the final deliverables.
7.3 Portfolio Use
Designa Graphics retains the right to:
- Display completed work in our portfolio
- Use project images for marketing and promotional purposes
- Include work in case studies and presentations
- Submit work for awards and publications
Clients may request confidentiality in specific circumstances, which will be addressed on a case-by-case basis.
7.4 Third-Party Materials
Any third-party materials (stock images, fonts, illustrations, etc.) used in projects may be subject to separate licensing terms. Clients are responsible for obtaining and maintaining appropriate licenses for ongoing use.
7.5 Client Trademarks
Clients retain all rights to their existing trademarks, logos, and branded materials provided for project use.
8. Confidentiality
8.1 Mutual Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project, including:
- Business strategies and plans
- Financial information
- Technical data and processes
- Customer information
- Unpublished design work
8.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no breach of these Terms
- Was known prior to disclosure
- Is independently developed
- Must be disclosed by law or court order
9. Warranties and Disclaimers
9.1 Our Warranties
Designa Graphics warrants that:
- Services will be performed with professional skill and care
- Original work created by us does not infringe third-party intellectual property rights
- We have the right to provide the services offered
9.2 Disclaimer of Warranties
Except as expressly stated, services are provided "as is" without warranties of any kind, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Results or outcomes from use of deliverables
9.3 Client Warranties
Clients warrant that:
- All information and materials provided are accurate and complete
- They have rights to all materials provided
- Use of provided materials does not violate third-party rights
- They will comply with all applicable laws in using deliverables
10. Limitation of Liability
10.1 Liability Cap
Our total liability for any claims arising from services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
10.2 Exclusion of Damages
We shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits or revenue
- Loss of data or business opportunities
- Business interruption
- Reputational harm
10.3 Client Indemnification
Clients agree to indemnify and hold Designa Graphics harmless from claims arising from:
- Client-provided content or materials
- Client's use of deliverables beyond agreed scope
- Violation of third-party rights by Client
- Client's breach of these Terms
11. Termination
11.1 Termination by Client
Clients may terminate projects with written notice. Upon termination:
- Client is responsible for payment of all work completed to date
- Deposits are non-refundable
- Client may be charged a cancellation fee as specified in the agreement
- All preliminary work remains property of Designa Graphics
11.2 Termination by Designa Graphics
We may terminate agreements if:
- Client fails to make timely payments
- Client breaches these Terms
- Client fails to provide necessary information or feedback
- Continuation is impossible or impractical
11.3 Effects of Termination
Upon termination:
- All outstanding payments become immediately due
- Work stops on the project
- Confidentiality obligations continue
- Provisions intended to survive termination remain in effect
12. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters
- War, terrorism, or civil unrest
- Government actions or regulations
- Pandemic or epidemic
- Severe internet or technology failures
- Labor disputes
13. Website Use
13.1 Acceptable Use
When using our website, you agree not to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Transmit harmful code or malware
- Attempt unauthorized access to systems
- Interfere with website functionality

These Terms, together with any specific project agreements, constitute the entire agreement between parties and supersede all prior agreements and understandings.

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of modified Terms. Material changes will be communicated to active clients.
16.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
16.4 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
16.5 Assignment
Clients may not assign rights or obligations under these Terms without our written consent. We may assign our rights and obligations to qualified successors.
16.6 Independent Contractors
The relationship between Designa Graphics and Clients is that of independent contractors. Nothing in these Terms creates a partnership, employment, or agency relationship.
